M&A Manager (H/F)

About the Role
Reporting to the M&A Director, the M&A Manager plays a central role in the identification, evaluation, structuring and execution of strategic transactions across the Group.
As a key member of the Corporate Development team, the successful candidate will contribute to shaping Bel’s growth agenda through acquisitions, divestments, strategic partnerships and other value-creating initiatives. The role offers significant exposure to senior leadership and direct involvement in high-impact international projects.
The M&A Manager will lead transaction workstreams, coordinate cross-functional teams and external advisors, and ensure the successful delivery of projects from strategic assessment through closing and integration planning.
 
Key Responsibilities
Strategic Analysis & Opportunity Assessment
  • Assess inorganic growth opportunities, strategic partnerships and portfolio optimization initiatives.
  • Conduct strategic, competitive and financial analyses to support investment decisions.
  • Develop and challenge business plans, market assessments and investment cases.
  • Build and maintain advanced financial models, including valuations (DCF, trading and transaction comparables), scenario analyses and sensitivity analyses.
  • Prepare high-quality recommendations and decision materials for senior management, the Executive Committee and the Board of Directors.
 
Transaction Execution
  • Support and progressively lead M&A transactions from origination to closing.
  • Manage due diligence processes and coordinate internal teams and external advisors.
  • Structure and oversee data rooms, Q&A processes, project governance and transaction timelines.
  • Identify key risks and value creation opportunities throughout the transaction process.
  • Ensure the quality and consistency of all transaction deliverables.
 
Deal Structuring & Negotiation Support
  • Participate in transaction structuring discussions, including valuation, financing and risk allocation considerations.
  • Support negotiations with counterparties and advisors through financial and strategic analysis.
  • Review and contribute to key transaction documents, including NDAs, LOIs, SPAs, shareholders' agreements and ancillary agreements.
  • Assess the financial and strategic implications of proposed contractual terms.
 
Cross-Functional Leadership & PMI Preparation
  • Act as the primary coordination point between Finance, Legal, Tax, HR, Operations, IT and external stakeholders.
  • Support the preparation of integration and value creation plans prior to closing.
  • Contribute to post-merger integration and performance tracking initiatives when required.
  • Drive collaboration across functions and geographies to ensure successful project delivery.
 
Continuous Improvement
  • Contribute to the development of M&A best practices, tools and methodologies.
  • Promote analytical excellence and operational efficiency across the Corporate Development function.
  • Monitor market trends, industry developments and emerging opportunities relevant to Bel's strategic priorities.
 
Profile
Education & Experience
  • Master's degree from a leading Business School, Engineering School or University, with a specialization in Corporate Finance, Strategy or a related field.
  • 4–6 years of relevant experience in Investment Banking, Transaction Services, Private Equity, or Corporate Development.
  • Prior exposure to international transactions is highly desirable.
 
Technical Skills
  • Strong financial modelling and valuation capabilities.
  • Solid understanding of M&A transaction processes and deal documentation.
  • Strong analytical and problem-solving skills.
  • Advanced proficiency in Excel and PowerPoint.
  • Excellent written and verbal communication skills in English.
